Sponsorship Terms & Conditions

Thank you for your interest in sponsoring the Martha’s Vineyard Travel Tips newsletter. Please read these terms and conditions carefully before booking a sponsorship. By placing a booking, you acknowledge that you have read, understood, and agree to be bound by these terms.

1. DEFINITIONS

  • “Newsletter” refers to the Martha’s Vineyard Travel Tips email newsletter.
  • “Publisher” refers to the owner and operator of Martha’s Vineyard Travel Tips.
  • “Sponsor” refers to the individual or business purchasing advertising space in the Newsletter.
  • “Sponsorship” or “Ad” refers to the promotional content provided by the Sponsor to be included in the Newsletter.
  • “Booking” refers to the reserved advertising space for a specific Newsletter issue.

2. SPONSORSHIP AGREEMENT

2.1 Placing a booking through our calendar system or via email constitutes acceptance of these terms and conditions in their entirety.

2.2 The relationship between the Publisher and Sponsor is strictly that of independent contractors. No agency, partnership, joint venture, or employment relationship is created as a result of this agreement.

2.3 The Publisher reserves the right to modify these terms with notice to Sponsors. Changes will not affect existing bookings but will apply to future bookings.

3. RESERVATION OF RIGHTS

3.1 The Publisher reserves the absolute right to reject, cancel, or request modifications to any sponsorship that, in the Publisher’s sole discretion, does not align with the Newsletter’s brand, audience interests, or values.

3.2 If the Publisher exercises the right to cancel a confirmed sponsorship, the Sponsor will receive a full refund of any fees paid for that specific booking.

3.3 The Publisher maintains complete editorial control over the Newsletter, including the presentation and positioning of sponsorship content.

4. CONTENT SUBMISSION AND APPROVAL

4.1 Sponsors must submit all ad materials (images, text, and links) at least 5 business days before the scheduled publication date of the Newsletter.

4.2 All sponsorship content is subject to review and approval by the Publisher. The Publisher may request changes to ensure alignment with Newsletter standards.

4.3 Specifications for ad content:

  • Images must be 800px wide, in JPG format
  • Copy must be 150 words or less
  • Content must be relevant to Martha’s Vineyard travelers
  • All claims must be truthful and verifiable

4.4 The Publisher may reject any sponsorship content that is misleading, offensive, contains inappropriate material, or violates any applicable laws or regulations.

5. PAYMENT TERMS

5.1 Full payment is required at the time of booking to secure the sponsorship placement.

5.2 Pricing is subject to change as subscriber numbers grow, but confirmed bookings will be honored at the rate paid at time of booking.

6. CANCELLATION POLICY

6.1 Sponsor cancellations must be made in writing to maria@mvtraveltips.com.

6.2 Refunds for cancellations by the Sponsor will be processed according to the following schedule:

  • 4+ weeks before publication: 100% refund
  • Less than 4 weeks before publication: No refund

6.3 Rescheduling is not available. Sponsor may cancel an existing booking and proceed through the booking process again to secure a new date.

The Publisher may cancel a scheduled Newsletter issue due to unforeseen circumstances, in which case the Sponsor will receive a full refund.

7. LIMITATION OF LIABILITY

7.1 While the Publisher maintains high engagement rates, the Publisher does not guarantee any specific open rate, click-through rate, or business results from the sponsorship.

7.2 The Publisher’s maximum liability related to any sponsorship is limited to the amount paid by the Sponsor for the placement in question.

7.3 The Publisher is not liable for any consequential, incidental, indirect, punitive, or special damages arising out of any sponsorship, including lost profits or business opportunities.

7.4 The Sponsor is solely responsible for the content of their advertisement, including any claims, offers, or representations made within.

8. INTELLECTUAL PROPERTY

8.1 The Sponsor retains ownership of their submitted content but grants the Publisher a limited, non-exclusive license to reproduce, publish, and distribute it within the Newsletter.

8.2 The Sponsor warrants that they own or have properly licensed all content submitted for publication and that the content does not infringe upon any third party’s intellectual property rights.

8.3 The Newsletter format, subscriber list, and all other content created by the Publisher remain the exclusive intellectual property of the Publisher.

9. PRIVACY AND DATA PROTECTION

9.1 The Publisher complies with all applicable email marketing laws, including CAN-SPAM.

9.2 The Publisher will not share individual subscriber data with Sponsors but may provide aggregate demographic information.

9.3 The Sponsor agrees not to request or collect personal information from Newsletter subscribers without explicit permission from both the subscriber and the Publisher.

10. CONFIDENTIALITY

10.1 The Sponsor agrees to keep confidential any non-public information related to the Newsletter, including but not limited to pricing discussions, subscriber metrics, or special arrangements.

10.2 This confidentiality obligation does not apply to information that is publicly available or required to be disclosed by law.

11. REPRESENTATIONS AND WARRANTIES

11.1 The Sponsor represents and warrants that:

  • All information provided to the Publisher is accurate and truthful
  • Their business operates in compliance with all applicable laws and regulations
  • Their website and linked content are secure and free from malicious code
  • They have the legal authority to enter into this agreement

11.2 The Publisher represents and warrants that:

  • The Newsletter is sent to legitimate opt-in subscribers only
  • Reported metrics are accurate to the best of the Publisher’s knowledge

12. DISPUTE RESOLUTION

12.1 Any disputes arising from this agreement shall first be addressed through good-faith negotiation between the parties.

12.2 If a resolution cannot be reached through negotiation, the dispute shall be resolved through mediation in Massachusetts under Massachusetts law.

12.3 This agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law principles.
